Restructuring

Frankfurt/Neuwied, Germany; February 12, 2009: At its extraordinary meeting today, the Supervisory Board of Winkler+Dünnebier AG, Neuwied, approved the key points of a restructuring plan to secure the company’s future. – But the company still expects to report a loss for 2009.

The global economic crisis has had a significant impact on Winkler+Dünnebier AG in recent months. The adverse trend in new orders and revenue predicted in the interim announcement on the third quarter of 2008 has materialized and is likely to further intensify. Whilst the preliminary results in the 2008 financial statements are in line with expectations, the annual budget approved today gives grounds to anticipate a loss in 2009, the level of which is impossible to predict more precisely due to the current market uncertainty.

In order to counter these long-term market trends, the Management Board of Winkler+Dünnebier AG has drawn up the key points of a restructuring plan which was approved today by the Supervisory Board. The objective of the plan is a substantial reduction of existing capacities and cost levels whilst at the same pushing ahead with current and future research and development projects.

The Management Board is responsible for determining the specific individual measures to be taken in order to implement the restructuring plan, which should be put into effect swiftly in collaboration with everyone concerned.
