joint opinion on the voluntary public takeover offer (cash offer) by Pon Holding
Germany GmbH, Kerpen, Germany, to the shareholders of Derby Cycle AG that was
published on October 21, 2011. The complete text of the joint opinion, and a
non-binding English translation of the text, will be available free of charge
from November 1, 2011 from Derby Cycle AG, Siemensstr. 1-3, 49661 Cloppenburg
