Koblenz: CompuGroup Medical today signed an agreement to acquire a 75 % stake in
LAUER-FISCHER GmbH, located in Fuerth, Germany. The company provides software
solutions to pharmacies in Germany with approximately 4.000 customers. Total
sales in 2010 were 49.8 million Euros, EBITDA of 9.8 million Euros and earnings
before tax (EBT) of 6.2 million Euros. LAUER-FISCHER’s market share is about 20
%.

The purchase price for 75 % of the debt-free entity is 52.5 million Euros and
will be paid in cash from existing credit facilities. Put and call options are
agreed for the remaining 25 % shares. The options can be exercised until 31
December 2013. The closing of the transaction is scheduled for today.

With this acquisition CompuGroup Medical further strengthens the position in
Germany and consequently expands its portfolio of strategically important
services for a better networking of all participants in healthcare.
